1. Acceptance of Terms
By accessing our website, submitting a form, or purchasing a membership, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our services. These terms constitute the entire agreement between you and Health Balance Nova regarding the services.
2. Description of Services
Health Balance Nova provides healthcare and wellness coordination and management, including: care planning, appointment scheduling, in-home visits through licensed clinicians, telehealth facilitation, nutrition and weight-management programming, dental and specialty care navigation through a vetted partner network, and insurance claims advocacy. Services are delivered under membership plans described on our website and may be modified with notice.

Content on this website is for general informational purposes only and is not medical advice, diagnosis, or treatment. Always seek the advice of a qualified health provider regarding any medical condition. Clinical decisions are made solely by the licensed professionals treating you, exercising independent medical judgment. We coordinate care; we do not practice medicine through this website.
4. Eligibility & Accounts
You must be at least 18 years old to purchase a membership. Members may add dependents, including minors, for whom the member accepts responsibility and consents on the dependent's behalf. You agree to provide accurate, current information and to keep your contact details up to date so we can deliver care safely.
5. Membership Plans, Billing & Renewal
- Plan fees (Essential, Signature, Concierge) are stated monthly in U.S. dollars and billed in advance on the same calendar day each month.
- All plans renew automatically month-to-month until cancelled by you.
- Prices may be adjusted with at least 30 days' written notice; adjustments never apply to your current billing cycle.
- Services provided by third-party clinics, labs or pharmacies may incur separate charges not included in membership fees; we will disclose known costs before booking where possible.
6. Cancellations & Refunds
You may cancel at any time for any reason with no cancellation fee, effective at the end of your current billing period. Written cancellation (email to info@healthbalancenova.com or via your coordinator) is required. If we fail to deliver a scheduled paid service through no fault of yours, you will receive a credit or refund for that service. Fees for completed visits and services already rendered are non-refundable.
7. Insurance & Claims
Our membership complements — and does not replace — your health insurance unless you expressly choose otherwise. Where you authorize claims advocacy, you grant us a limited power to communicate with your insurer regarding identified claims. We cannot guarantee insurance coverage, claim approval, reimbursement amounts, or reductions of third-party medical bills; advocacy outcomes depend on your insurer and providers.
8. Telehealth Consent
By participating in a telehealth visit, you consent to receiving healthcare services by secure video or phone, understand the limitations of virtual care (including the inability to perform physical examinations), and understand that technology failures may occasionally interrupt a visit, in which case it will be rescheduled at no charge. You may withdraw telehealth consent at any time and request in-person alternatives subject to availability in your area.
9. Acceptable Use
You agree not to misuse our website or services, including: submitting false information; attempting unauthorized access; scraping or reselling content; using our communication tools for unlawful, abusive, or fraudulent purposes; or interfering with the care of other members. We may suspend services for material violations, with notice where practicable.
10. Intellectual Property
All website content — text, design, graphics, logos, care-plan templates and materials — is the property of Health Balance Nova or its licensors and protected by U.S. copyright and trademark law. You may not reproduce or distribute it commercially without written permission. Your personal care documents are yours to keep and share with your own providers.
11. Third-Party Providers
Care may be delivered by independent licensed professionals and partner organizations. While we vet every partner carefully, we are responsible for our own coordination services and do not guarantee the acts or omissions of independent third parties. We will, however, assist you in resolving any concern with a partner provider.
12. Limitation of Liability
To the maximum extent permitted by law, Health Balance Nova's aggregate liability arising from or relating to the services is limited to the membership fees you paid in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages. Nothing in this section limits liability for clinical malpractice by our employed clinicians, gross negligence, willful misconduct, or any liability that cannot be limited by law.
13. Indemnification
You agree to indemnify and hold harmless Health Balance Nova, its staff and affiliates from claims arising from your violation of these terms, your misuse of the services, or information you provide that is materially false, except where caused by our own negligence or misconduct.
14. Dispute Resolution & Arbitration
We start every dispute with a conversation: please contact us first. If a dispute cannot be resolved informally within 30 days, both parties agree to attempt mediation in Oregon City, Oregon, and, failing resolution, to binding arbitration administered under the rules of the American Arbitration Association. Either party may bring qualifying individual claims in small-claims court. You and we each waive the right to a jury trial and to participate in class actions. This clause does not prevent either party from filing complaints with state licensing boards or regulators.
15. Governing Law
These terms are governed by the laws of the State of Oregon, USA, without regard to conflict-of-law principles, except where patient rights under your state of residence's healthcare laws provide greater protections, which will be honored.
16. Changes to These Terms
We may revise these terms from time to time. The current version is always posted on this page with its effective date. Material changes affecting active memberships will be communicated at least 30 days in advance. Continued use after the effective date constitutes acceptance.
